Navigalife Coaching

1. Purpose & Values

Protects confidential materials, client data, and program content while fostering collaboration within ethical boundaries.

2. Confidentiality

Coach shall maintain strict confidentiality regarding client sessions, Navigalife systems, and all proprietary frameworks.

3. Ethical Standards

Coach agrees to follow the ICF Code of Ethics and Navigalife’s Code of Conduct (no hate speech, bullying, or discrimination).

4. Program Submission & Approval

All workshops or courses must be pre-approved by Navigalife Admin. Materials remain Navigalife intellectual property unless otherwise stated.

5. Non-Compete & Non-Solicitation (24 Months)

Coach shall not, for 24 months after engagement:

• Offer programs duplicating Navigalife curricula or membership structure;

• Solicit or accept Navigalife clients or members;

• Recruit Navigalife staff or coaches;

• Use Navigalife frameworks or branding to market external coaching.

Collaboration Exception: Joint ventures may proceed with written Navigalife consent.

6. Intellectual Property & Use of Content

Navigalife retains rights to all branded materials, visuals, and program frameworks. Coach may use personal session notes but not course templates.

7. Return & Destruction of Data** and Non-Disparagement

Same wording as Service Provider Agreement.

8. Term, Remedies, Law, Ethical Commitment** — identical to Service Provider Agreement.**
